CleanWatch+ Terms of Use

Effective date: October 15, 2026

1. Acceptance and scope

These Terms of Use govern access to and use of CleanWatch+, Terra Universal, Inc.'s hosted cleanroom monitoring service, including the web portal and the monitoring devices connected to it.

CleanWatch+ accounts are set up by Terra Universal or by an administrator at the customer organization. By accessing an account, the account holder accepts these terms. By permitting its personnel to use CleanWatch+, the customer organization accepts them on its own behalf.

If the customer has a signed agreement with Terra Universal covering CleanWatch+, approved in writing by an authorized Terra Universal representative, that agreement controls to the extent of any conflict with these terms. Any conflicting or additional terms in the customer's purchase order or other documents are rejected unless approved in the same way. The purchase of monitoring hardware, and payment for CleanWatch+, are governed by Terra Universal's Terms & Conditions.

How Terra Universal handles personal information is described in the Privacy Policy.

2. Accounts and access

The customer's administrators decide who holds an account and at what role.

  • Accounts are for named individuals. Credentials must not be shared, and a single account must not be used by more than one person.
  • Sign-in security measures, such as multi-factor authentication, must not be circumvented, disabled, or shared.
  • The customer is responsible for all activity occurring under its accounts.
  • The customer is responsible for promptly removing access for personnel who leave or change roles.

Terra Universal may suspend an individual account that appears compromised, and will tell the customer's administrator when it does.

3. Roles and customer responsibility

CleanWatch+ assigns capabilities by role. Administrative roles can change how the customer's devices and alarms are configured.

The customer is responsible for:

  • the alarm setpoints it configures, including whether they are appropriate for its environment and its own quality standards;
  • the alert recipients it designates, including confirming that those people should receive its monitoring data; and
  • the placement, installation, power, and network connectivity of its monitoring devices.

4. Data ownership

Terra Universal owns all data in CleanWatch+, including sensor readings, device data, alarm and alert records, and reports generated by the service, and all rights in that data.

While the customer's account is active, Terra Universal grants the customer a non-exclusive, non-transferable license to access, use, and export the data generated by the customer's own devices for its internal business purposes, including its quality and compliance records. The customer may continue to use data it has exported for those purposes after its account ends.

Terra Universal may use, copy, analyze, retain, and create derivative works from CleanWatch+ data for any purpose, including developing and improving its products, research, and benchmarking, both during and after the customer's account. Terra Universal does not disclose data that identifies a customer to other customers or third parties, except to its service providers, as required by law, or in aggregated or de-identified form.

Personal information in CleanWatch+, such as user names and email addresses, is handled as described in the Privacy Policy.

5. Acceptable use

The customer and its users must not:

  • reverse engineer, decompile, or disassemble any part of the service, or attempt to derive its source code;
  • attempt to access another customer's data, any account they were not granted, or the underlying infrastructure;
  • resell, sublicense, or provide access to the service to a third party;
  • publish or disclose another customer's data;
  • interfere with the operation of the service, submit falsified data, or attempt to degrade the availability of the service for others; or
  • use the service in violation of applicable law.

6. Devices and credentials

Monitoring devices connect to the service using credentials issued for the customer's use. Those credentials must be protected with the same care as account passwords. The customer must notify Terra Universal promptly if it believes a device credential has been exposed, lost, or misused, so it can be revoked and replaced.

Only devices registered to the customer's account are monitored. A device that has been installed but not registered is not being watched, and its readings are not stored, displayed, or checked against alarm limits.

7. Reliability and limitations

CleanWatch+ is a monitoring and notification aid. It is not a certified metrology instrument, and it is not a regulatory compliance system. It must not be used as the sole control for product quality, personnel safety, or regulatory compliance.

The customer acknowledges that:

  • alert delivery depends on device power, sensor condition, network connectivity, and third-party services outside Terra Universal's control, and alerts may therefore be delayed, duplicated, or missed altogether;
  • readings may be affected by sensor drift, sensor placement, environmental conditions, and calibration status;
  • a period without alerts is not by itself evidence that conditions were within limits, because it may equally mean a device was offline; and
  • the customer remains responsible for maintaining independent controls and for its own ISO 14644, GMP, or other applicable compliance procedures, including periodic calibration and independent verification of critical measurements.

8. Availability and changes to the service

Terra Universal uses commercially reasonable efforts to keep CleanWatch+ available, but does not guarantee uninterrupted or error-free operation and offers no service level commitment or service credits under these terms.

Terra Universal may perform maintenance, including maintenance that interrupts the service, without prior notice. It may add, change, or remove features. Where a change materially reduces functionality the customer relies on, Terra Universal will give reasonable notice where practicable.

9. Suitability, warranty, and limitation of liability

Suitability. Terra Universal does not guarantee the suitability of CleanWatch+ or Terra-supplied monitoring devices for the customer's specific application, only that they will perform to the specifications documented on Terra Universal's quotes and order confirmations, not including oral instructions or other requirements not listed.

Warranty disclaimer. CleanWatch+ is provided "as is" and "as available". To the fullest extent permitted by law, Terra Universal disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, and any warranty that the service will be uninterrupted, secure, or error-free, or that readings or alerts will be accurate, timely, or complete. Warranties on monitoring hardware are those stated in Terra Universal's product warranty.

Where the customer has a signed agreement with Terra Universal, the liability provisions of that agreement govern. Otherwise, the following applies.

Excluded damages. Terra Universal is not responsible for any consequential damages or loss of revenue resulting from performance issues, service interruptions, delayed or missed alerts, or delays in manufacturing or installation. Terra Universal is likewise not liable for any indirect, incidental, special, exemplary, or punitive damages, or for lost profits, lost production, product loss, or recall or remediation costs, arising out of or relating to CleanWatch+, even if advised of the possibility of those damages.

Liability cap. Terra Universal's total liability arising out of or relating to CleanWatch+ is limited to the greater of (a) the fees the customer paid to Terra Universal for CleanWatch+ in the twelve months before the event giving rise to the claim, or (b) one thousand U.S. dollars (US$1,000).

Nothing in this section limits liability that cannot be limited under applicable law.

10. Suspension and termination

Terra Universal may suspend access, in whole or in part, for non-payment, for a security risk, or for breach of section 5, giving notice where practicable.

Either party may terminate in accordance with any signed agreement or, if there is none, on reasonable written notice.

For 30 days after termination, the customer may export the data generated by its devices. Terra Universal deletes the customer's account information, such as user names and email addresses, within 90 days of termination, matching the Privacy Policy, except where longer retention is legally required. Terra Universal may retain sensor and device data after termination.

11. Arbitration and governing law

Any controversy or claim arising out of or relating to these terms or CleanWatch+, or the breach thereof, shall be settled by arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules, and judgment on the award rendered by the arbitrator(s) may be entered in any court having jurisdiction thereof. Arbitration shall be the exclusive forum to resolve any such claims or controversies and, except for the entry of judgment upon any arbitration award, the parties expressly waive their respective right to seek relief in any state or federal court. These terms shall be governed by the laws of the State of California, and any arbitration hearing shall be conducted in Orange County, California.

12. Indemnity

The customer will defend, indemnify, and hold harmless Terra Universal against any third-party claim arising from (a) data the customer or its users submit to the service, (b) the alert recipients the customer designates, (c) the customer's or its users' use of CleanWatch+, or (d) the customer's breach of these terms. The customer will pay any resulting damages, costs, and reasonable attorneys' fees. Terra Universal will notify the customer of the claim and may participate in its defense with counsel of its choice. The customer may not settle any claim in a way that imposes obligations on Terra Universal without Terra Universal's written consent.

13. Changes to these terms

Terra Universal may update these terms. The effective date at the top of the page changes when it does, and the current version is always published at this address. Where a change materially affects customer rights or obligations, Terra Universal will notify affected customers directly. Continued use after a change takes effect constitutes acceptance.
